These Terms govern use of GetNutria by nutritionists, dietitians, clinics and authorised staff (“Customer”, “you” or “your”). “GetNutria”, “we”, “us”, “our” and “Service Provider” mean the registered proprietor identified as *, trading under the registered business name GET NUTRIA, a business name registered in the Republic of Cyprus under Business Name Registration No. ΕΕ 63204 α, with its business address at 10 Nikou Karantoni, Akropoli, 2013 Nicosia, Cyprus.

1. Eligibility and authority

You must be legally capable of entering into this agreement. If you use GetNutria for a clinic or organisation, you confirm that you have authority to bind that organisation.

You are responsible for maintaining any professional licences, registrations, qualifications, insurance and permissions required for your services.

2. The service

GetNutria provides software for functions that may include client records, diet plans, recipes, body measurements, appointments, messaging, imports, notifications and client access.

Features may change as the service develops. We will not intentionally make a material contractual reduction without reasonable notice where practicable.

3. GetNutria is a software provider

GetNutria does not provide medical, dietary or clinical care and does not replace professional judgement. You remain responsible for:

• assessing clients;

• the accuracy and suitability of diets, advice and records;

• reviewing imported or AI-assisted results before relying on them;

• determining whether urgent or specialist care is required; and

• complying with professional and legal duties.

GetNutria must not be used as an emergency service.

4. Accounts and authorised users

You must provide accurate account information, protect login credentials and ensure that each user uses an individual authorised account.

You are responsible for actions taken through your accounts unless caused by GetNutria's breach. You must promptly notify us of suspected unauthorised access.

You must remove access when a staff member no longer requires it.

5. Client data and GDPR responsibilities

For personal data about your clients, you normally act as data controller and GetNutria acts as data processor under the GetNutria Data Processing Agreement (GDPR Article 28).

You confirm that:

• you are authorised to collect and use the client data entered into GetNutria;

• you have identified and documented an appropriate GDPR legal basis;

• where health or other special-category data is processed, you have identified an applicable Article 9 condition;

• you provide clients with an accurate privacy notice;

• you enter only data that is relevant and necessary;

• you handle client rights requests and retention obligations; and

• your instructions to GetNutria are lawful.

You must not instruct GetNutria to process data unlawfully.

6. Client accounts and invitations

You are responsible for confirming that invitations are sent to the correct person and that client records are associated with the correct account.

You should verify client identity before disclosing sensitive information or responding to privacy requests.

7. Optional AI and import features

Some features may use automated extraction, OCR or artificial intelligence. Outputs may be incomplete or incorrect and must be reviewed by a qualified user before being added to or relied upon in a client's record.

You are responsible for deciding whether an optional AI feature is appropriate, informing clients where required, and obtaining any required permission or consent.

You must not upload data to an AI-enabled feature where doing so would violate law, professional duties or contractual restrictions.

8. Acceptable use

You must not:

• use GetNutria unlawfully or to harm another person;

• access a client or account without authorisation;

• upload malware or attempt to bypass security controls;

• conduct unauthorised penetration testing;

• scrape, resell or reverse engineer the service except where law expressly permits;

• use the service to send spam or unlawful communications;

• enter information you have no right to process; or

• share accounts between unrelated users.

9. Customer content

You retain rights in content you or your authorised users enter into GetNutria. You grant GetNutria the limited rights necessary to host, process, transmit, back up and display that content to provide and secure the service.

We do not acquire ownership of your client records.

10. Subscription, fees and taxes

10.1 GetNutria is offered as a business-to-business service for nutritionists, dietitians and clinics. The selected plan, included features, price and billing interval will be shown before purchase.

10.2 Unless the order page states otherwise, a new eligible Customer may use a 14-day free trial. A trial does not create a right to continued free access. If payment details are requested, the date and amount of the first charge must be shown before the trial begins.

10.3 Paid subscriptions are billed monthly or annually in advance and renew automatically for the same billing interval until cancelled. The Customer may cancel at any time from account settings or by contacting support. Cancellation takes effect at the end of the current paid billing period and does not delete Customer data before the DPA export period ends.

10.4 GetNutria offers a contractual 14-day money-back period for the Customer's first paid subscription charge. A request must be submitted within 14 calendar days of that charge. For an annual renewal, GetNutria will provide reasonable advance notice and will refund the renewal if the Customer requests cancellation within 7 calendar days after the charge and has not materially used the service during the renewed period.

10.5 Except for the rights above, a billing error, GetNutria's uncured material breach, discontinuation of the paid service, or a right that cannot lawfully be excluded, fees are non-refundable and no partial refund is provided for unused time after cancellation.

10.6 If GetNutria terminates a paid subscription without cause, it will refund the prepaid fees attributable to the unused part of the billing period. No refund is due where access is terminated for material breach, unlawful use or an unresolved security risk.

10.7 Failed payments are subject to a 7-calendar-day grace period. GetNutria may restrict paid features after that period and may suspend the account after reasonable notice while preserving the DPA export and deletion obligations.

10.8 GetNutria may change prices by giving at least 30 calendar days' notice. A price change applies only from the next renewal date, allowing the Customer to cancel before the new price takes effect.

10.9 Prices are stated exclusive of VAT unless expressly stated otherwise. VAT and other legally required taxes will be added at the applicable rate. The Customer is responsible for providing accurate billing and VAT information.

11. Availability, maintenance and support

We aim to provide a reliable service but do not guarantee uninterrupted availability. Planned maintenance, provider outages, security events or circumstances outside reasonable control may affect access.

12. Security and backups

We apply security measures described in the DPA and Security and Data Protection Overview. You are responsible for endpoint security, authorised-user management, accurate contact details and maintaining exports where your professional obligations require an independent copy.

13. Confidentiality

Each party will protect the other's confidential information and use it only for the agreement. This does not apply to information that is public without breach, independently developed, lawfully received from another source or required to be disclosed by law.

14. Intellectual property

GetNutria and its licensors retain rights in the platform, software, branding, documentation and service improvements. No rights are granted except the limited right to use the service during the subscription.

Feedback may be used to improve the service without identifying you or your clients.

15. Suspension

We may suspend access where reasonably necessary to:

• address a security risk;

• prevent unlawful or harmful use;

• comply with law;

• respond to material non-payment; or

• investigate a material breach.

Where practicable, we will provide notice and limit suspension to the affected account or feature.

16. Termination and data export

Either party may terminate as described in the subscription terms. On termination, supported data export and deletion will follow the DPA.

You are responsible for exporting records required for your professional, contractual or legal retention obligations before the export period ends.

17. Warranties and disclaimers

We will provide the service with reasonable care and skill. Except where law prohibits exclusion, the service is provided without warranties that it will be uninterrupted, error-free or suitable for every clinical or business purpose.

AI, OCR, imports, nutrition calculations and third-party data may contain errors. You must independently review information used for professional decisions.

18. Liability

18.1 Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

18.2 GetNutria is a software provider and is not responsible for professional advice, diagnoses, treatment decisions, diets, appointments, measurements or other content created, selected or approved by a nutritionist, clinic or client. The Customer remains responsible for reviewing imports, calculations and AI- or OCR-assisted outputs before professional use.

18.3 Subject to section 18.1, neither party will be liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings or business opportunity. This exclusion does not prevent recovery of reasonable direct costs required to restore Customer data where the loss was caused by GetNutria's breach.

18.4 Subject to sections 18.1 and 18.5, GetNutria's total aggregate liability arising from or connected with the service during any 12-month period will not exceed the greater of:

• the fees paid or payable by the Customer to GetNutria during the 12 months immediately preceding the event giving rise to the claim; or

• EUR 1,000.

18.5 For a proven breach by GetNutria of confidentiality, the DPA, or its security obligations that results in unauthorised disclosure, loss or corruption of Customer Personal Data, the aggregate cap will instead be the greater of:

• twice the fees paid or payable during the preceding 12 months; or

• EUR 5,000.

18.6 The caps apply to the maximum extent permitted by law and in aggregate across all claims arising from the same or related events. Each party must take reasonable steps to mitigate its losses.

19. Third-party services

GetNutria may rely on hosting, database, email, storage, payment, messaging, AI and monitoring providers. Their use is described in the Subprocessor List where they process client data on our behalf.

20. Changes

We may update these Terms for legal, security, technical or service reasons. We will provide reasonable notice of material changes. Material contractual changes may require renewed acceptance.

21. Governing law and disputes

21.1 These Terms and any non-contractual obligations connected with them are governed by the laws of the Republic of Cyprus.

21.2 Before starting court proceedings, either party should give written notice of the dispute and allow 30 calendar days for authorised representatives to attempt a good-faith resolution. This does not prevent urgent injunctive relief, debt recovery or a regulatory complaint.

21.3 Subject to any mandatory rule that applies, the competent courts of the Republic of Cyprus have exclusive jurisdiction over disputes arising from or connected with these Terms.

21.4 The governing-law and court provisions do not limit rights or remedies that cannot lawfully be excluded. The DPA and any incorporated Standard Contractual Clauses prevail for matters they specifically govern.

23. Acceptance

By electronically accepting these Terms, you confirm that you have read them, accept the linked DPA and are authorised to bind the relevant practice or organisation.
